1) Scope
AFWP (Beyond Nutrition Healing, LLC) provides AI-automation consulting, implementation, and support (“Services”). Specific deliverables, timelines, and fees are defined in your proposal, invoice, or statement of work (SOW).
2) Client responsibilities
Provide timely access to accounts, content, and decision-makers; review and approvals within 3 business days unless otherwise stated. You are responsible for your compliance (e.g., HIPAA) and for maintaining licenses with your own tools (Practice Better, Kajabi, Cal.com, etc.).
3) Fees & payments
Unless stated otherwise, 50% deposit to begin; balance due prior to delivery or milestone handoff. Late balances may pause work. Installments/BNPL (PayPal/Klarna/etc.) are processed by their respective providers and may include fees.
4) Changes & extras
Out-of-scope revisions, new integrations, or platform migrations are billed at our current rates or quoted as an add-on.
5) Support & maintenance
Ongoing support is not included unless you enroll in an AFWP AI Virtual Assistant Support plan. See Support & Maintenance Policy at /support-maintenance-policy.
6) Intellectual property
Pre-existing IP from either party remains theirs. Upon full payment, you receive a non-exclusive license to the final deliverables created for you (automation logic, SOPs) for use in your business. Third-party assets and platform templates remain subject to their original licenses.
7) Confidentiality
Both parties agree to protect confidential information and use it only for the engagement.
8) Data processing
If we access personal data in your systems, we act as your service provider/processor solely to deliver Services. You remain the controller/business and are responsible for data entered into your systems.
9) Disclaimer (wellness & results)
We provide technical/operational services only and do not provide medical, legal, or financial advice. Results (leads, revenue, bookings) vary by practice and implementation.
10) Limitation of liability
To the fullest extent permitted by law, our total liability for any claim is limited to the fees you paid to us for the Services in the 3 months preceding the event giving rise to the claim. No indirect, incidental, special, or consequential damages.
11) Cancellations & rescheduling
Booked work may be rescheduled subject to availability. Deposits are non-refundable once work has started or access has been provisioned, except where required by law.
12) Non-solicitation
During the project and for 6 months after, you agree not to solicit our contractors or staff for employment or freelance work without our written consent.
13) Governing law
These Terms are governed by the laws of the State of California, excluding conflict rules. Venue: Contra Costa County, CA. If any provision is unenforceable, the remainder stays in effect.
14) Updates
We may update these Terms; the current version will always be posted at /terms with the “Last updated” date.
